The Problem

Private market offerings are easy to find. A way to evaluate them is not.

Exempt market offerings circulate widely: private REITs advertising high yields, MICs describing their income as secured, flow-through shares with tax benefits. The offering memorandums run long, and most of what turns up in a search is American and doesn't apply here.

A framework covers three things: what you're looking at, which questions to ask, and which red flags to watch for.
